TERMS AND CONDITIONS
  • In these conditions, unless the context requires otherwise:
  • 1. “Client” refers to the company, firm, body or person purchasing the services from 3Cinteractive.
  • 2. “Contract” refers to the contract between 3Cinteractive and the Client for the services provided by 3Cinteractive.
  • 3. “3Cinteractive” refers to 3Cinteractive, a trading name of Call Centre Communications Ltd, and any subsidiary or agent of 3Cinteractive through which Services are sold to clients.
  • 4. “Order” refers to a purchase order for the Services confirmed by the Client and submitted to 3Cinteractive, as well as all documents referred to in it.
  • 5. “Quotation” is an agreed project of work within these provisions which has been agreed between the client and 3Cinteractive and is provided by 3Cinteractive to the Client in relation to the Services. No contract will exist until 3Cinteractive’s written acceptance or order form has been completed and signed on behalf of the Client and the order acknowledgement has been signed on behalf of 3Cinteractive.
  • 6. “Services” refers to terms within the Contract between the Client and 3Cinteractive, including the work and/or services to be performed by 3Cinteractive for the Client to satisfy the Order.
  • 7. “Standard Form” refers to 3Cinteractive’s standard form of Order.
  • General
  • 1. Quotations are not binding 3Cinteractive and a Contract will only be formed once 3Cinteractive have accepted the order by signing the order and returning it to the client.
  • 2. All contracts are subject to the terms and conditions herein. Any terms and conditions within an order or specified by the client will have no effect unless they are in 3Cinteractive’s standard form of order. Any differences to the contract must be confirmed in writing by 3Cinteractive.
  • 3. All quotations from 3Cinteractive will remain open for approval and acceptance for 21 days or when 3Cinteractive withdraws the quotation.
  • 4. These conditions shall, to the extent applicable, apply to goods and products in the same way as they apply to Services.
  • 5. Any ongoing website services will have a minimum duration of 12 months.
  • Prices and Tariffs
  • 1. If services are sold in relation to 3Cinteractive’s published tariff/price structure, the costs for the services will be the prices as published and current at the date of purchase.
  • 2. In instances where services are provided based on a bespoke package, the price for the services will be that stated on the corresponding quotation.
  • 3. Where applicable, 3Cinteractive will add and the client shall pay VAT or any other relevant taxes or duties to the price of the services.
  • 4. Clients will be notified in writing 7 days prior to any price changes, which will generally become effective on the first day of the following month.
  • Payment Terms
  • 1. At the time of submission of a purchase order to 3CInterative, the client shall pay a nonrefundable deposit for the services outlined within the order to the value of 50% of the total amount of the order.
  • 2. Optimisation or Web Hosting services do not require a deposit from the client to 3Cinteractive.
  • 3. On completion of services outlined within the order, 3Cinteractive will invoice clients for the remaining amount (minus any deposits paid) which is due upon the completion of the project.
  • 4. Unless otherwise agreed in writing by 3Cinteractive, clients will be required to pay invoices immediately upon completion of the services outlined within the order.
  • 5. Clients should make payments due to 3Cinteractive by cheque (along with a relevant cheque guarantee card), cash, banker’s draft or by transfer direct to the company bank account or arranged Direct Debit. All payment should be in pounds sterling.
  • 6. Client failure to pay any amount or invoice due to 3Cinteractive under these terms and conditions on or before the due date will result in default interest at the rate outlined by the Late Payment of Commercial Debts (Interest) Act 1998 will be added to the outstanding amount, starting the day after the due date, until the date when payment is received in full. Any reasonable charges incurred by 3Cinteractive in recovering late payments from the client including, without limitation, legal fees, will be added to the final amount payable.
  • Website Creative and Design
  • 1.The client must completely guarantee that any text, graphics or other artwork provided to 3Cinteractive for inclusion within any website design project are owned by the client themselves or that the client has permission from the rightful owner for their use, and agrees to hold full responsibility and omit 3Cinteractive and it’s subcontractors of any responsibility in the case of any claim from the use of such content provided by the client.
 
  • 2. All design and creative files remain the intellectual property of 3Cinteractive on completion of any website design project.
  • 3.3Cinteractive has the right to use any part of a client’s website for the purposes of advertising, marketing or display or to create subsidiary design concepts, unless expressly agreed otherwise. In addition, 3Cinteractive will also hold the right to use any ideas, techniques and concepts generated from website design projects, unless expressly agreed otherwise.
  • Search Engine Optimisation (SEO)
  • 1.3Cinteractive will make every effort to improve the positioning of your website within key Search Engines through SEO techniques including using relevant keywords for enhanced search-ability, we are unable to guarantee the success of this service.
  • 2.3Cinteractive will not held responsible for changes in the positioning of your website within search engines.
  • Online Website Services
  • 1.3Cinteractive offer domain name registration, website hosting and mailbox functioning through third party providers and therefore registration to these services on behalf of the client is subject to the terms, conditions and policies of these providers.
  • 2.3Cinteractive will not accept any financial loss which may occur in the event that a client’s domain name is not renewed.
  • 3. Should any financial loss occur due to unavailability of a mailbox, 3Cinteractive will not be held liable for this.
  • 4. Domain transfers will incur a standard charge which in line with currently advertised rates. A domain will only be transferred if the transfer charge and any other outstanding charges/ invoices owed to 3Cinteractive have been paid.
  • Warranty and Limit of Responsibility
  • 1.3Cinteractive endeavours, acknowledges and confirms to carry out services with the relevant due diligence, care and skill as well as in line with good industry conduct.
  • 2.The client must accept that 3CInterative accept no responsibility for the positioning of their site online.
  • 3.Under no circumstances will 3Cinteractive shall be held liable to the Client for any losses, whether indirect or direct which are perceived by the client.
  • 4.3Cinteractive will not accept responsibility or liability for any failures in performance due to factors beyond reasonable control.
  • Delivery & Completion Dates
  • 1.3Cinteractive will make every effort to work within the completion times of the client, based upon reasonable time for services to be conducted to a satisfactory standard. Once 3Cinteractive receives a signed order from the client and agreed deadline will be set.
  • 2. All completion dates for service carried out by 3Cinteractive are approximate and, unless otherwise specifically stated, time will not be the pivotal factor for delivery or performance.
  • 3.Under no circumstances will 3Cinteractive be held liable for any delay of failure in delivery, unless it is as a result of the negligence of 3Cinteractive.
  • 4.No delay will entitle the Client to reject the contract or the order for the services provided by 3Cinteractive.
  • Responsibility for approving the website
  • 1.The client and 3CInterative agree and acknowledge that any services including website design will be carried out in accordance with information provided by the client to 3CInterative.
  • 2.It is the sole responsibility of the client (not 3Cinteractive) to review and approve the content of their website (including, without limitation, spellings of names and addresses and the accuracy of contact details including telephone numbers) at the time of the completion of the website by 3Cinteractive.
  • 3.3Cinteractive will therefore not accept any liability for any inaccuracies on the website should the client fail to approve the website or instigate amends.
  • Termination
  • 1.3Cinteractive holds the right to terminate the contract or order with immediate effect should the client breach its obligations under the contract and/or the client becomes insolvent or unable to pay it debts as due.
  • 2.3Cinteractive has the right to suspend or terminate its services to the client at its discretion if the client fails to make any payments when due to 3CInterative.
  • 3.3Cinteractive may, at any time, give written notice to terminate any agreement, order or contract with the client with immediate effect.
  • 4.Cancellations of any contract within the first 12 months of services will incur a fixed charge penalty.
